Chapter 504 Bylaws
Except where expanded upon here, CHADD of Northern California will abide by
all bylaws set out in published form by CHADD National for its chapters and
branches. The following were adopted by the Chapter Executive Board on June
7, 2003.
- The Chapter Executive Board will be comprised of Chapter Officers and Directors,
County Coordinators, Branch Coordinators and Members-at-Large.
- All must be CHADD members in good standing.
- The Chapter Coordinator or designee presides.
- The Chapter Executive Board has a decision making meeting four times
a year, which can be in person or by other means.
- If there are candidates approved by the Nominating Committee as qualified
for the various roles, annual (Spring) Elections will be held for the Chapter
Officers (Coordinator, Coordinator-elect, & Treasurer).
- The Chapter Executive Board is the Nominating Committee for Chapter
Offices such as the Coordinator, Coordinator elect, and Treasurer.
- The Coordinator, Coordinator-elect and Treasurer position may not overlap.
- To be eligible for the position of Coordinator or Treasurer, a member
must have held the office of Coordinator-elect or Treasurer-elect respectively,
and be approved by the Branch Coordinators. (Consensus is to be sought
in this.) The Treasurer-elect must have demonstrable accounting experience.
- The Chapter Executive Board, qua Nominating Committee, will determine
qualifications based on candidates' support of CHADD's Mission and experience
with CHADD. (This section, 4-2, is now superseded by National Policy.)
- Only CHADD members in good standing may vote.
- A simple majority is required to win an election.
- Elections will be announced on the Web site and in the electronic newsletter
"Center of Attention."
- Written results will be forwarded to the National Office within 14 days.
- The Chapter Coordinator or Chapter Executive Board may appoint other Chapter
Leadership, including Directors of specific functions and County Coordinators.
- County Coordinators have wide discretion in managing their County, but
serve at the disposal of the Chapter Executive Board.
- County Coordinators can appeal to the National office for autonomous
Chapter or Satellite status, as per National guidelines for branches.
- Elections at the County level are not required, but County Committees
can often facilitate getting the work done.
- Chapter Executive Board will arbitrate any disagreements at the county
level.
- All Chapter Executive Board members must sign a conflict of interest form
and be consistent with CHADD National policy when representing CHADD.
In addition to these bylaws, the following guidelines are in effect for all
chapters as recommended by the National Office of CHADD.

Clarification of CHADD Policy Relating to Annual Chapter and Branch Board
of Directors and Officer Elections

- CHADD has received several recent requests from CHADD Chapters and Branches
regarding the procedures for holding annual elections. In an effort to help
clarify CHADD policy and to underscore the importance of annual elections,
this memorandum briefly highlights the key procedures that CHADD Chapters
and Branches must follow consistent with CHADD policy. Note that this memorandum
supersedes any previously disseminated CHADD policy statements or documents
relating to the conduct of Chapter or Branch elections.
- By June 30th of each year, each Chapter and Branch shall schedule an annual
election for the purpose of electing members of the Chapter and Branch Board
of Directors and Officers. Notice of the election shall be provided to Chapter
and Branch members in good financial standing at least fourteen (14) days
prior to the election.
- Each Chapter or Branch should have a Board of Directors that includes,
at a minimum, the following Officer positions: Coordinator, Treasurer, and
one other Member-at-Large. Other Officer positions, including but not limited
to Coordinator-Elect, Immediate Past Coordinator, and Secretary may be elected
if desired by the Chapter or Branch membership.
- Prior to the annual elections, each Chapter and Branch must appoint a Nominating
Committee to develop a slate of candidates for Directors and Officers. Such
slate shall be presented at the election, and additional nominations shall
be accepted from the floor from any member in good financial standing who
wishes to be considered for a Director or Officer position.
- Each Chapter and Branch shall appoint a group of Chapter or Branch members
in good standing, and who are not standing for election for a Director or
Officer position, to conduct the election. Only members of CHADD in good financial
standing are eligible to serve as a Director of Officer of a Chapter or Branch.
- Only members of CHADD in good financial standing as of the date of the election
are eligible to cast a vote in the annual elections. A list of such members
should be available at the elections to provide confirmation as to eligibility
to vote. Each Individual/Family CHADD membership is entitled to one (1) vote.
Written proxies from CHADD members in good financial standing shall be valid
if cast by a CHADD member in good financial standing who is present at the
election. A copy of the proxy form
is attached.
- All candidates for Director and Officer positions shall be allotted no more
than three (3) minutes to address the voting members during elections. A simple
majority of votes cast (including written proxies) shall determine the outcome.
- Directors and Officers may succeed themselves in office for an unlimited
number of one year terms, with the exception of Immediate Past Coordinator,
who shall be limited to a one year term.
- Results of Chapter and Branch elections, including current contact information
for all Directors and Officers, must be reported to CHADD within thirty (30)
days of the election. Election results must similarly be reported to the Chapter
and Branch membership within thirty (30) days of the election, which may be
accomplished by posting results on the Chapter Information Page on the CHADD
web site at www.chadd.org.
